Unless expressly agreed otherwise in writing:

Codignus retains ownership of its pre-existing software, frameworks, libraries, tools, reusable components, templates, development methodologies, know-how, and technical assets.
The client receives only those rights expressly granted under the applicable project agreement.
Third-party software, APIs, libraries, fonts, plugins, hosting services, and other third-party components remain subject to their respective licenses and terms.
Project-specific intellectual property ownership will be determined by the applicable written agreement.

7. Client Content and Materials

Clients may provide Codignus with information, documents, images, logos, trademarks, source code, databases, text, designs, or other materials required to provide the Services (“Client Content”).

The client represents and warrants that it has the necessary rights and permissions to provide such Client Content to Codignus.

The client remains responsible for ensuring that its Client Content:

Does not infringe third-party intellectual property rights;
Does not violate applicable law;
Does not contain unauthorized personal or confidential information; and
May lawfully be used for the intended project.

Codignus may use Client Content only to the extent reasonably necessary to provide the agreed Services.

8. Project Scope and Requirements

For software development and consulting projects, the agreed scope will generally be specified in a proposal, quotation, statement of work, or service agreement.

Requests that fall outside the agreed scope may be considered additional work.

Additional work may result in:

Additional development charges;
Changes to delivery timelines;
Additional testing requirements;
Changes to technical specifications; or
Other project-related costs.

Changes to requirements after project commencement may affect the original cost and delivery schedule.

9. Project Delivery

Codignus will make reasonable efforts to complete projects within the agreed timelines.

However, delivery dates may be affected by:

Changes in requirements;
Delays in receiving information or approvals from the client;
Delayed payments;
Third-party service dependencies;
Hosting or infrastructure issues;
Technical issues;
Force majeure events; or
Other circumstances beyond our reasonable control.

Project timelines are therefore subject to the terms agreed with the client.

10. Fees and Payments

Fees for Codignus Services may be communicated through quotations, proposals, invoices, subscription plans, or service agreements.

Unless otherwise agreed in writing:

Payments must be made according to the agreed payment schedule.
Applicable taxes, including GST and other statutory charges, may be added where applicable.
Third-party costs may be charged separately.
Hosting, domain registration, software licenses, API usage, SMS, payment gateway, cloud infrastructure, and similar third-party charges may be billed separately where applicable.
Delayed payments may result in suspension of Services.
Codignus may withhold delivery or access to Services where agreed payments remain outstanding.

11. Subscriptions and Recurring Services

Certain Codignus Services may be provided on a subscription or recurring-payment basis.

The applicable subscription price, billing cycle, features, renewal terms, cancellation terms, and other conditions may be specified on the relevant product or service page, invoice, subscription agreement, or other applicable documentation.

Unless otherwise stated, subscription services may automatically renew according to the applicable billing cycle.

12. Refunds and Cancellation

Refunds and cancellations will be handled according to the applicable agreement, proposal, invoice, subscription terms, or refund policy.

Unless otherwise required by applicable law or expressly agreed in writing, fees for completed work, customized software development, consumed services, third-party costs, licenses, hosting, domain registration, and other non-recoverable expenses may not be refundable.

Cancellation of a recurring service may prevent future billing but does not automatically create a right to a refund for services already provided or for the current billing period.

The invalid provision will be modified or interpreted to the minimum extent necessary to make it enforceable, where legally permissible.

These Terms, together with the applicable Privacy Policy, proposals, quotations, invoices, statements of work, subscription terms, service agreements, and other written agreements between Codignus and a client, constitute the applicable agreement governing the use of our Services.

Where there is a conflict between these Terms and a specific written agreement, the specific written agreement will prevail for the relevant Service or project.

28. No Waiver

Failure by Codignus to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision in the future.
